Changes & Updates

We reserve the right to modify or update these Terms & Conditions at any time. When we do, we will post the updated version on this page with a new “Effective Date.” Continued use of the site or your membership after changes constitutes acceptance of the updated terms.

1. Services, Membership & Access

1.1 Purpose of Membership

Velixa Labs offers digital services including branding, design, educational content, compliance resources, community access, and related business tools (“Membership Services”).

1.2 No Product Sales via Velixa Labs

Velixa Labs does not sell, invoice, fulfill, or ship any physical products, chemicals, or research-use materials. All such activities are conducted by our separate entity, Drop Ship Consultants LLC (DSC), via its own platform and payment processor. Velixa Labs’ Stripe-connected payment system is solely for Membership Services and other digital offerings.

1.3 Access to DSC Catalog

Membership may grant you the ability to view the DSC product catalog for informational or internal planning purposes. However, viewing the catalog does not guarantee eligibility to purchase. All actual product orders, payments, and fulfillment are managed exclusively by DSC, under separate terms and controls.

1.4 Independent Business Owner (IBO) Agreement

Participation in the Independent Business Owner (“IBO”) Program is available to qualifying members who wish to engage in branding, resale, or fulfillment activities supported by our parent company, Drop Ship Consultants LLC.

All such sales, fulfillment, and product invoicing are conducted solely by Drop Ship Consultants LLC (DSC) on its own platform and payment processor.

Velixa Labs’ role is limited to providing brand infrastructure, educational resources, and digital access tools to approved IBO participants.

Acceptance of the IBO Agreement is required prior to engaging in any business activity utilizing Velixa Labs assets, branding materials, or integrations with DSC or its fulfillment partners.

The IBO Agreement outlines responsibilities related to marketing, branding, intellectual property, and compliance.

It does not authorize or constitute the sale or transfer of any physical products or research-use materials.

2. Eligibility & Customer Vetting

2.1 Age Requirement

By using this site and purchasing a membership, you certify that you are 18 years of age or older.

2.2 Research Use Only

You agree that any product information accessed via the catalog is for research use only and not for human consumption, therapeutic use, or medical application.

2.3 Further Vetting by DSC

DSC retains full discretion to accept or reject any order based on internal criteria, including credentials, institutional verification, location restrictions, or regulatory compliance. Velixa Labs is not involved in that decision-making.

3. Payment & Billing

3.1 Stripe for Membership Services Only

All payments processed through Velixa Labs’ Stripe integration are strictly for Membership Services and digital offerings. No physical product transaction, goods, or research-use chemicals pass through this system.

3.2 Separate Billing by DSC

Should you place a product order, DSC will invoice, collect payment, and fulfill the order through its own independent processor. Velixa Labs is not liable or responsible for DSC’s product transactions, pricing, or refunds.

4. Intellectual Property & Use of Content

4.1 Ownership

All content, trademarks, logos, images, and materials on Velixa Labs are owned or licensed by Velixa Labs or its affiliates. You may not copy, distribute, reproduce, or republish any such content without prior written permission.

4.2 Limitations on Use

Your membership grants you a non-exclusive, non-transferable right to use Velixa Labs content and services. You may not use Velixa Labs for the purpose of facilitating prohibited transactions or to misrepresent your relationship with Velixa Labs or DSC.

5. Disclaimers, Liability & Indemnification

5.1 No Guarantees

Velixa Labs makes no guarantee regarding product availability, pricing, performance, or results. All product claims and specifications are managed by DSC under its own terms and policies.

5.2 Limitation of Liability

Velixa Labs is not liable for any losses, damages, or claims arising from client transactions with DSC. Questions about product orders, returns, refunds, or defects should be addressed directly with DSC under its applicable policies.

5.3 Indemnification

You agree to indemnify and hold harmless Velixa Labs, its officers, directors, employees, and affiliates from claims, liabilities, damages, or losses arising from your use of the catalog, membership, or transactions with DSC.
